Terms of Service

These Terms of Service (“Terms”) govern your use of Wutday (“Wutday,” “we,” or “us”), available at wutday.co (the “Service”). By using the Service, you agree to these Terms. If you don’t agree, don’t use the Service.

1. The Service

Wutday helps groups pick a day that works for everyone. You can create a plan, share a link, and let others mark their availability.

2. Accounts

You need an account to create and manage plans. You’re responsible for keeping your login secure and for activity under your account. Provide accurate information and don’t impersonate others. You must be old enough to form a binding contract in your jurisdiction (and at least 13).

3. Acceptable use

You agree not to:

use the Service for anything illegal, harmful, harassing, hateful, or fraudulent;
upload or share content you don’t have the right to use, or that infringes others’ rights;
upload photos of other people without their consent;
upload obscene, sexually explicit, violent, or otherwise objectionable content;
send spam, or collect others’ information without permission;
attempt to break, overload, probe, or bypass the security of the Service; or
misuse the Service in any way that harms Wutday or others.

We may remove content or suspend or terminate access, at our discretion, for any violation.

4. Your content

You keep ownership of the content you submit (plan details, names, photos). You grant Wutday a non-exclusive, worldwide, royalty-free license to host, store, display, and share that content as needed to operate the Service — for example, showing a plan to the people you share it with and generating link previews. You’re responsible for your content and confirm you have the rights to submit it.

5. Participants

Anyone with a plan’s link can view it and submit a response. Only share plan links with people you intend to include.

6. Third-party services

The Service relies on third parties (such as hosting, database, and email providers). We’re not responsible for their acts or omissions, and their availability is outside our control.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY EMAIL, REMINDER, OR NOTIFICATION WILL BE DELIVERED.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WUTDAY AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED USD $100.

9. Indemnification

You agree to indemnify and hold harmless Wutday from claims, damages, and expenses (including reasonable legal fees) arising from your content, your use of the Service, or your violation of these Terms.

10. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service. Provisions that by their nature should survive — including the content license for already-shared content, disclaimers, limitation of liability, and indemnification — will survive.

11. Changes

We may update these Terms. Material changes will be reflected by updating the “Last updated” date above. Continued use after changes means you accept them.

12. Governing law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. You agree that any dispute relating to these Terms or the Service will be brought exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.
